  1. SEO Tool: Serpient provides an automated, user-friendly SEO tool that offers various features, including keyword tracking, analytics, and site optimization insights.
  2. Availability: While we strive to offer 99.99% uptime, we do not guarantee uninterrupted or error-free service under all conditions.
  3. International Use: We welcome customers from around the world. However, it is your responsibility to ensure that your use of our Services is lawful in your country of residence.

3. Account Registration

  1. Eligibility: You must be at least 18 years old to register for our Services. By registering, you warrant that all information provided is accurate and up-to-date.
  2. Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.
  3. Trial and Free Plan:
    • Trial: We offer a 1-day Premium trial that provides access to most premium features. At the end of the trial, you must upgrade to a paid plan or revert to the free plan.
    • Free Plan: We also offer a limited free plan with basic features. The free plan may be changed, limited, or discontinued at our discretion.

4. Subscriptions & Payment

  1. Subscription Plans: Our Services are offered on a subscription basis with recurring fees billed monthly or annually, unless otherwise specified on our website.
  2. No Refund Policy: All payments are final. We do not provide refunds once a subscription has commenced, including for partially used or unused periods.
  3. Late Payments: In the event that payment cannot be processed on the due date, we reserve the right to suspend or terminate your access to the Services.

5. Reseller Program

  1. Reseller Registration: Individuals or entities wishing to resell our Services must register by contacting info@serpient.com.
  2. Approval: Reseller applications will be reviewed on a case-by-case basis. Approval is at our sole discretion.
  3. Reseller Discount: Upon approval, resellers receive a discount ranging from 10% to 30%, depending on volume and other criteria specified in a separate reseller agreement.
  4. Compliance: Resellers must comply with these Terms and any additional conditions set forth in the reseller agreement.

6. Uptime Guarantee

  1. 99.99% Uptime: We strive to maintain 99.99% uptime. However, this is not an absolute guarantee and may be affected by maintenance, updates, or unforeseen technical issues.
  2. Liability for Downtime: We are not liable for any damages or losses incurred as a result of downtime or performance issues beyond our control.

7. Use of the Services

  1. License: Subject to your compliance with these Terms, we grant you a revocable, non-exclusive, non-transferable license to use our Services for your internal business or personal needs.
  2. Prohibited Activities: You agree not to:
    • Use the Services for unlawful or fraudulent purposes;
    • Disrupt the functionality or security of the Services or related networks;
    • Reverse engineer, decompile, or otherwise attempt to access our proprietary software or code.
  3. Data & Privacy: Your use of our Services may involve submitting personal or site data. We process such data in accordance with our Privacy Policy and applicable data protection laws.

  2. No Guarantee of Results: While we aim to improve your site's visibility, we do not guarantee specific SEO outcomes or rankings.
  3. No Warranty: To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement.

10. Limitation of Liability

  1. Exclusion of Damages: Under no circumstances shall we be liable for indirect, consequential, incidental, special, or punitive damages arising from your use of our Services.
  2. Cap on Liability: Our total liability for any claim shall not exceed the fees paid by you in the three (3) months preceding the incident.
  3. Jurisdiction-Specific Limitations: Some jurisdictions do not allow the exclusion or limitation of certain liabilities; in such cases, our liability shall be limited to the maximum extent permitted by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Serpient.com, its officers, directors, employees, and affiliates from any claims, damages, liabilities, or expenses (including attorneys’ fees) arising from your breach of these Terms or misuse of our Services.

12. Termination

  1. By You: You may discontinue using our Services at any time. However, once a subscription begins, no refunds will be provided.
  2. By Us: We reserve the right to suspend or terminate your access to our Services at any time, with or without notice, for any violation of these Terms or if continued use poses legal or security risks.
  3. Effect of Termination: Upon termination, your access ceases immediately and we may delete or archive your data in accordance with applicable laws.

  1. Dutch Law: These Terms are governed by the laws of the Netherlands.
  2. Jurisdiction: Any disputes arising from these Terms shall be exclusively resolved in the competent courts of the Netherlands.
